Terms of Service

Effective: February 1, 2026

These Terms of Service ("Terms") form a binding contract between Photo Bridge ("Photo Bridge", "we", "us") and every user of the Service. By creating an account, uploading photos, sharing galleries, or otherwise using Photo Bridge, you agree to these Terms in full. If you do not agree, you must not use the Service.

1. Eligibility & account

You represent that you are at least 18 years old, have the legal capacity to enter a contract, and are not barred from using the Service under the laws of your jurisdiction. You are responsible for maintaining the confidentiality of your credentials and for every action taken through your account.

2. The Service

Photo Bridge provides tools for photographers to ingest, cull, edit, deliver and monetize their work. Features are provided "as-is" and may change, be added, withdrawn or paused without notice. We do not guarantee uninterrupted service, uptime, or freedom from bugs.

3. Your content

You retain all copyright and moral rights in the photographs, videos and other content you upload ("Your Content"). By uploading, you grant Photo Bridge a worldwide, royalty-free, non-exclusive licence to host, transmit, transcode, resize, watermark, back-up and display Your Content strictly for the purpose of operating the Service. That licence terminates when you delete the content or close your account, except for backups retained for up to 90 days.

You warrant that (a) you own or have obtained every right and consent required to upload Your Content, including releases from every recognisable individual pictured, (b) Your Content does not infringe any third party's intellectual property, privacy or publicity rights, and (c) Your Content complies with our Acceptable Use Policy.

4. Client galleries & shared links

You are solely responsible for the accuracy, licensing and privacy settings of every gallery, download link and public share you create. Photo Bridge is not liable for content shared through your links, or for any misuse of your credentials by third parties.

5. Payments

Paid features are billed by our payment processor (Stripe). All fees are non-refundable except where required by applicable consumer-protection law or where specifically stated in our Refund Policy. Marketplace payouts to sellers are processed through Stripe Connect and are subject to Stripe's terms.

6. Third-party services

We integrate with third-party services (Stripe, Emergent LLM, Google, Resend, Instagram Graph API, ffmpeg-based rendering and others). Your use of those services is governed by their own terms. Photo Bridge is not responsible for the availability, accuracy or security of any third-party service.

7. Prohibited conduct

You must not (a) reverse-engineer or scrape the Service, (b) resell access without written permission, (c) upload content that violates our Acceptable Use Policy, (d) probe, load-test or attempt to bypass rate limits or security controls, or (e) use the Service to harass or deceive.

8. Termination

We may suspend or terminate your account at any time for a breach of these Terms, a suspected security issue, a legal demand, or to protect the Service or its users. On termination you may export Your Content for 30 days; after that we may permanently delete it.

9. Disclaimer of warranties

To the fullest extent permitted by law, the Service is provided "as is" and "as available". We disclaim every implied warranty, including merchantability, fitness for a particular purpose, non-infringement and any warranty arising from course of dealing or usage of trade.

10. Limitation of liability

To the fullest extent permitted by law, Photo Bridge shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, goodwill, data or business, however arising, even if advised of the possibility. Our aggregate liability to you for every claim shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) USD 100.

11. Indemnification

You will defend, indemnify and hold harmless Photo Bridge and its officers, employees and contractors from every claim, loss or expense (including reasonable legal fees) arising from Your Content, your breach of these Terms, or your violation of any law or third-party right.

12. Governing law & dispute resolution

These Terms are governed by the laws of Delaware, United States, without regard to conflict-of-laws principles. Any dispute will be resolved by binding arbitration seated in Wilmington, Delaware, under the JAMS Streamlined Arbitration Rules, on an individual basis (no class actions). If arbitration is unenforceable in your jurisdiction, the exclusive courts of Wilmington, Delaware shall have jurisdiction. Nothing in this section limits your rights under the mandatory consumer laws of your country of residence.

13. International users

We operate globally. If you access the Service from the EEA, UK, Switzerland, Brazil, Canada, Australia, Japan, South Korea, South Africa, Nigeria, Singapore, India or any other jurisdiction with local data-protection law, our Privacy Policy explains the additional rights you have and how to exercise them.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted here at least 14 days before they take effect; your continued use after that date means you accept the change.
